By accessing or using the FPGABay website and purchasing our products, you agree to be legally bound by these Terms of Service. If you do not agree, do not use this site or place any orders.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and FPGABay, Inc. ("FPGABay," "we," "us," or "our"), a corporation incorporated under the laws of the State of Delaware, USA.
By creating an account, browsing the website, or placing an order, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have the legal capacity to enter into contracts, and agree to these Terms in their entirety.
If you are purchasing on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.
2.1 Product Descriptions. We make reasonable efforts to accurately describe our FPGA development boards and accessories, including specifications, images, and pricing. However, we do not warrant that descriptions are error-free, complete, or current. Technical specifications are subject to change without notice due to component availability and design revisions.
2.2 Order Acceptance. Submitting an order constitutes an offer to purchase. Orders are not accepted until we send an order confirmation email. We reserve the right to refuse or cancel any order at our sole discretion, including if a product is mispriced, out of stock, or if we suspect fraudulent activity.
2.3 Pricing. All prices are in USD and exclusive of applicable taxes unless stated otherwise. We reserve the right to change prices at any time without notice. The price charged will be the price displayed at the time you placed your order.
2.4 Availability. Products are sold subject to availability. We do not guarantee that items listed on the website are in stock. If an item you ordered is unavailable, we will notify you and offer a refund, substitution, or backorder option.
2.5 Export Controls. FPGA products may be subject to export control laws and regulations, including the U.S. Export Administration Regulations (EAR). By purchasing, you represent that you are not on any U.S. government denied party list and will not export or re-export products in violation of applicable law. Violations are solely your responsibility.
3.1 Payment Methods. We accept cryptocurrency payments processed through NOWPayments, a third-party payment processor. By initiating a crypto payment, you agree to NOWPayments' terms of service and acknowledge that cryptocurrency transactions are irreversible once confirmed on the blockchain.
3.2 Crypto Payment Risks. You acknowledge the inherent volatility of cryptocurrencies. The USD equivalent amount is fixed at the time of invoice generation. You are solely responsible for ensuring payment is sent in the correct currency and amount within the invoice expiry window (typically 60 minutes). Late or incorrect payments may not be credited automatically, and FPGABay is not responsible for losses resulting from exchange rate fluctuations.
3.3 Failed Payments. If payment is not received within the invoice expiry period, your order will be automatically cancelled. A new order must be placed to obtain a fresh payment invoice.
3.4 Taxes. You are responsible for all applicable taxes, duties, import fees, and customs charges in your jurisdiction. FPGABay may be required to collect sales tax in certain jurisdictions and will apply such taxes to your order as required by law.
Please review our Shipping Policy for full details. Shipping times are estimates and not guaranteed. Risk of loss and title for products pass to you upon delivery to the carrier. FPGABay is not responsible for delays caused by carriers, customs, or events beyond our control.
5.1 Return Window. Returns are accepted within 30 days of delivery for products in original, unused condition with all original packaging and accessories. Custom-configured or special-order boards are non-returnable unless defective.
5.2 Process. To initiate a return, contact us at legal@fpgabay.com with your order ID and reason for return. We will provide a Return Merchandise Authorization (RMA) number. Products returned without an RMA may be refused.
5.3 Refunds. Approved refunds for crypto payments will be issued in USDT (TRC-20) or equivalent stable value, not in the original cryptocurrency paid, due to volatility. Refund processing time is 5–14 business days after receipt and inspection of the returned item.
5.4 Defective Products. If you receive a defective product, contact us within 14 days of receipt. We will, at our option, repair or replace the defective product or issue a full refund including shipping.
5.5 Order Cancellations. Orders may be cancelled before shipment. Contact us immediately at legal@fpgabay.com. Once an order has shipped, cancellation is not possible and the standard return process applies.
6.1 Ownership. All content on this website — including text, graphics, logos, product designs, firmware, documentation, and software — is the property of FPGABay, Inc. or its licensors and is protected by applicable intellectual property laws.
6.2 Limited License. We grant you a limited, non-exclusive, non-transferable license to access and use the website for personal, non-commercial purposes. You may not copy, reproduce, redistribute, modify, reverse-engineer, decompile, or create derivative works from any website content or product firmware without our express written consent.
6.3 Open Source Components. Some of our products include open-source firmware or reference designs. Such components are licensed under their respective open-source licenses as documented in the product's accompanying materials.

You must notify us immediately at legal@fpgabay.com of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized access to your account that is not caused by our negligence.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are associated with chargebacks.
9.1 AS-IS Basis. THE WEBSITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Technical Suitability. FPGA development boards are complex electronic components. We do not warrant that any product will meet your specific technical requirements or that operation will be uninterrupted or error-free. Engineering judgment and verification are your responsibility.
9.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FPGABAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR OUR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.4 Maximum Liability. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless FPGABay, Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of our products or website; (c) your violation of any third party rights; or (d) any content you submit to the website.
11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
11.2 Binding Arbitration. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF SHALL BE DETERMINED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL TAKE PLACE IN SAN FRANCISCO, CALIFORNIA. THE ARBITRATOR'S AWARD SHALL BE FINAL AND BINDING.
11.3 Class Action Waiver. YOU AND FPGABAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
11.4 Exceptions. Either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
11.5 Jurisdiction. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
We reserve the right to modify these Terms at any time. We will notify registered users by email and post the updated Terms on this page with a new "Last Updated" date. Your continued use of the website after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the website.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms, together with our Privacy Policy and Shipping Policy, constitute the entire agreement between you and FPGABay regarding your use of the website and supersede all prior agreements.
